General purchasing conditions

  1. Any terms and conditions of sale on behalf of the supplier are explicitly declined.
  2. When delivering his/her texts and translations, the supplier automatically transfers all rights and claims relating to these texts and translations to Communicatiebureau Déesse bvba.
  3. Should Communicatiebureau Déesse bvba receive a complaint from one of its customers regarding the quality of the supplier’s work or should we feel that the work has not been done to standard, then Communicatiebureau Déesse bvba shall reserve the right to recover any claims made by the customer from the supplier and to demand an additional compensation for any damages incurred. Furthermore, in such an event Communicatiebureau Déesse bvba shall reserve the right to suspend its payment obligations towards the supplier for an indefinite time.
  4. The supplier may charge confirmed written assignments that are cancelled by Communicatiebureau Déesse bvba in accordance with the work that is finished at the moment of cancelling. By means of justification the supplier shall immediately present the finished work. Nevertheless Communicatiebureau Déesse bvba reserves the right to reduce the supplier’s payment if Communicatiebureau Déesse bvba believes that there is due cause.
  5. If a supplier notices he/she will not be able to deliver an assignment on time or will arrive late for an appointment, he/she will immediately inform Communicatiebureau Déesse bvba of the delay. In case of late delivery, Communicatiebureau Déesse bvba reserves the right to withhold the agreed rate or part of it, without prejudice to any additional damages claimable by Communicatiebureau Déesse bvba.
  6. The supplier may charge confirmed interpreting assignments that are cancelled by Communicatiebureau Déesse bvba in accordance with the following schedule:
    • cancellation between the order confirmation and six working days prior to the first day of the interpreting assignment: 50% of the anticipated invoice amount;
    • cancellation within five working days prior to the first day of the interpreting assignment: 100% of the anticipated invoice amount;
      bearing in mind that travel expenses, per diems, hotel stays and other related expenses shall never be reimbursed in the event of a cancellation.

    In such an event Communicatiebureau Déesse bvba reserves the right to offer the supplier an alternative assignment, possibly a written (translation) assignment. If the supplier refuses to accept the alternative they shall lose the right to charge the cancelled interpreting assignment. If the supplier accepts the alternative and the overall invoice amount of this alternative assignment is below the overall invoice amount of the cancelled interpreting assignment, not including any travel expenses, per diems, hotel stays and other related expenses, the supplier may only draft an additional invoice for the difference following the specific written approval of Communicatiebureau Déesse bvba.

  7. Communicatiebureau Déesse bvba shall only pay invoices by SEPA transfer. To this end the supplier’s invoice shall specify their account’s IBAN and BIC codes, in addition to the other legal specifications and the correct identification data needed by Communicatiebureau Déesse bvba. If these specifications are missing, Communicatiebureau Déesse bvba shall not proceed to payment and the supplier shall not be able to hold Communicatiebureau Déesse bvba liable for this. Following consultation with the supplier another form of payment may be agreed upon. Any bank charges shall be borne by the supplier.
  8. Suppliers of Communicatiebureau Déesse bvba shall not outsource assignments to third-party suppliers without the prior written agreement of Communicatiebureau Déesse bvba.
  9. In the event of a dispute only the courts of the district of Oudenaarde shall be competent. Only the Dutch version of the present purchasing conditions shall be submitted for interpretation.
  10. Belgian legislation applies to all deliveries and delivered services.
  11. Any invalidity of one or more provisions in the present purchasing conditions does not affect the validity of the remaining provisions.
